Terms of Service & End User License Agreement

Important — Please Read Carefully

This document contains the Terms of Service ("Terms") and End User License Agreement ("EULA") for The News Audit / The American Newscast. By creating an account, subscribing, or otherwise using the Service, you agree to be bound by these Terms and the EULA. If you do not agree, do not use the Service.

Beta Service

The News Audit is currently in beta. By using the Service during this period, you acknowledge that certain features may be modified, removed, or added as we continue development. All payment processing and user data storage are handled by independent third-party platforms that operate on their own dedicated servers with separate firewall configurations and security infrastructure. See Sections 7.6 and 18 for details.

Part I

Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and The News Audit / The American Newscast("we," "us," or "our") governing your access to and use of our website, web application, APIs, and all related services (collectively, the "Service").

By accessing or using the Service, you confirm that you are at least 13 years of age (or 16 in the EEA), that you have the legal capacity to enter into this agreement, and that you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization.

2. Description of Service

The News Audit is an AI-powered news analysis platform currently operating in beta. The Service is under active development; features may be modified, added, or removed at any time as we refine the platform. The Service provides:

  • Aggregation and display of news articles from third-party sources
  • AI-powered article analysis, media bias analysis, and content summarization
  • AI-powered fact-checking and claim verification
  • Deep Dive analysis (available on Premium and Max plans)
  • AI Reporter live news briefings
  • Email briefing delivery
  • Shareable briefing pages
  • Source reliability scoring and rankings
  • Premium features available through paid subscriptions

3. User Accounts

3.1 Registration. Certain features require you to create an account. You agree to provide accurate, current, and complete information during registration, and to keep your account information updated.

3.2 Security. You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3.3 Termination. We reserve the right to suspend or terminate your account at our sole discretion, with or without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

4. Free and Premium Tiers

4.1 Free Tier. The free tier includes 5 article analyses, 2 bias analyses, 2 fact checks, and 1 email briefing per day. Usage is tracked via browser cookies and IP address. Clearing cookies does not entitle you to circumvent usage limits.

4.2 Paid Subscriptions. We offer three paid plans, billed monthly through Stripe:

  • Pro ($4.00 USD/month): Higher daily limits for analyses, bias checks, and fact checks. Ad-free experience.
  • Premium ($9.00 USD/month): All Pro features plus Deep Dive analysis mode and further increased daily limits.
  • Max ($20.00 USD/month): The highest daily limits across all features, including Deep Dive, email briefings, and AI Reporter.

Specific daily limits for each plan are listed on our subscription page. We reserve the right to adjust limits to maintain service quality.

4.3 Billing. By subscribing, you authorize us to charge your payment method on a recurring monthly basis. All fees are in US Dollars unless otherwise stated.

4.4 Cancellation.You may cancel your subscription at any time through your Stripe customer portal. Upon cancellation, you will retain access to your plan's features through the end of your current billing period. No partial refunds will be issued for unused portions of a billing period.

4.5 Price Changes.We reserve the right to modify subscription pricing with at least 30 days' prior notice. Continued use after a price change constitutes acceptance of the new pricing.

4A. Referral Program

4A.1 Program Overview.Registered users may participate in The News Audit Referral Program by sharing a unique referral link. When a new user subscribes to a paid plan through your referral link, you earn a recurring commission of 10% of the referred subscriber's monthly plan price for as long as that subscription remains active.

4A.2 Commission Rates.Commission is calculated as 10% of the standard monthly plan price: Pro ($4/mo) = $0.40/mo per referral; Premium ($9/mo) = $0.90/mo per referral; Max ($20/mo) = $2.00/mo per referral. Rates are based on the subscriber's plan at the time of each billing cycle and adjust automatically if the referred subscriber upgrades or downgrades.

4A.3 Payout Threshold and Schedule.A minimum pending balance of $5.00 USD is required before a payout is issued. Payouts are processed automatically on the 1st of each month via Stripe Connect. You must connect a valid bank account through Stripe's onboarding process to receive automated payouts.

4A.4 Payment Method. Payouts are made exclusively through Stripe Connect to the bank account you provide during onboarding. Stripe handles all fund transfers independently on their own secure infrastructure. You are responsible for providing accurate banking information and for any taxes owed on referral earnings.

4A.5 Cancellation and Forfeiture. If a referred subscriber cancels their subscription, no further commissions will accrue for that subscriber. Pending (unpaid) earnings associated with that cancelled subscription are forfeited. Commissions that have already been paid out are not subject to clawback.

4A.6 Program Modifications.We reserve the right to modify commission rates, payout thresholds, payment methods, or terminate the Referral Program at any time with 30 days' notice. Earned and pending commissions at the time of program changes will be honored through the transition period.

4A.7 Prohibited Conduct. Self-referrals, fake accounts, spam, misleading advertising, and any fraudulent activity will result in immediate disqualification from the Referral Program and forfeiture of all pending earnings. We reserve the right to withhold payouts pending investigation of suspected abuse.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to any portion of the Service, other accounts, or computer systems
  • Use automated scripts, bots, scrapers, or other automated means to access the Service beyond the provided API, without our written permission
  • Circumvent, disable, or interfere with usage limits, security features, or access restrictions
  • Redistribute, resell, or sublicense the Service or its content without authorization
  • Use the Service to transmit malware, spam, or other harmful content
  • Impersonate any person or entity, or misrepresent your affiliation
  • Interfere with or disrupt the Service or servers/networks connected to the Service
  • Use the AI analysis outputs to generate misleading or defamatory content
  • Systematically download or cache market data for redistribution

6. Intellectual Property

6.1 Our Content. The Service, including its design, layout, code, logos, and original content, is owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our proprietary content without our express written consent.

6.2 Third-Party Content. News articles displayed through the Service are the property of their respective publishers and are retrieved via licensed APIs. We do not claim ownership of third-party content.

6.3 AI-Generated Analysis. Bias analyses, fact checks, summaries, and briefings generated by the AI are provided as informational outputs. You may use these outputs for personal, educational, or editorial purposes. You may not represent AI-generated analysis as your own original journalism or research without attribution to the Service.

6.4 User Content. You retain ownership of any content you create within the Service (such as saved articles and notes). By using the Service, you grant us a limited, non-exclusive license to store and process your content as necessary to provide the Service.

7. Disclaimers

7.1 No Financial Advice. Market data, financial quotes, charts, and any related information provided by the Service are for informational purposes only and do not constitute financial, investment, or trading advice. We are not a registered broker, financial advisor, or investment advisor. Always consult a qualified financial professional before making investment decisions. Past performance does not guarantee future results.

7.2 No Journalistic Endorsement. The bias analysis and content summarization features are AI-generated outputs intended to promote media literacy and critical thinking. They represent algorithmic assessments, not editorial opinions. We do not endorse, verify, or guarantee the accuracy of any news article or AI analysis.

7.3 Data Accuracy. While we strive for accuracy, news data may be incomplete, delayed, or contain errors from upstream sources. We make no warranties regarding the accuracy, completeness, or timeliness of any data.

7.4 "As Is" Basis.THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

7.5 AI-Generated Content. All bias analyses, fact-check reports, market commentary, news correlation analysis, and intelligence briefings generated by the Service are produced by artificial intelligence (Anthropic Claude). These outputs are algorithmic assessments and do not represent human editorial judgment. The accuracy, completeness, and reliability of AI-generated content is not guaranteed. Users should independently verify important claims and not rely solely on AI-generated analysis for making decisions.

7.6 Beta Service. The Service is currently in beta. During this period, features may be added, modified, or removed without prior notice as we continue to develop and improve the platform. While we strive to maintain consistent service quality, beta features may contain bugs, produce unexpected results, or experience periods of reduced availability. By subscribing during the beta period, you acknowledge and accept these conditions. Your payment information and personal data are not affected by the beta status of the Service — all payment processing is handled by Stripe, and all data storage is handled by Supabase, both of which operate on independent servers with their own dedicated firewall configurations and enterprise-grade security protocols. These third-party platforms maintain their security standards independently of The News Audit application.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE NEWS AUDIT, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100.00).

9. Indemnification

You agree to indemnify, defend, and hold harmless The News Audit and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit or transmit through the Service.

10. Dispute Resolution

10.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the United States and the State in which The News Audit is incorporated, without regard to conflict of law principles.

10.2 Arbitration.Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration shall take place in a mutually agreed location or remotely. Each party shall bear its own costs except as required by applicable arbitration rules.

10.3 Class Action Waiver. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.

10.4 Exceptions. Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction for claims related to intellectual property infringement or unauthorized access.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be posted on this page with an updated "Last Updated" date. For significant changes, we may also notify registered users by email. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination: (a) your right to use the Service ceases immediately; (b) your active subscription will be cancelled; and (c) we may delete your account data in accordance with our Privacy Policy. Sections 6, 7, 8, 9, 10, and 13 shall survive termination.

13. General Provisions

13.1 Entire Agreement. These Terms, together with the Privacy Policy and EULA below, constitute the entire agreement between you and The News Audit regarding the Service.

13.2 Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13.3 Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

13.4 Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.

13.5 Force Majeure. We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or failures of third-party services.

Part II

End User License Agreement (EULA)

14. License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use (or, for paid subscribers, for permitted commercial use as described below).

Free Tier License: Personal, non-commercial use only. Subject to daily limits as described in Section 4.1.

Paid Plan License (Pro, Premium, Max): Personal and limited commercial use, including the use of AI-generated analyses in published editorial content with attribution to the Service. Daily feature limits vary by plan as detailed on our subscription page.

15. License Restrictions

You may not:

  • Copy, modify, adapt, translate, or create derivative works of the Service's software, interface, or proprietary content
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service (except to the extent expressly permitted by applicable law)
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices
  • Sublicense, lease, rent, loan, sell, or otherwise transfer the Service or your account to any third party
  • Use the Service to build a competing product or service
  • Access the Service through any automated means (except through the provided API with valid credentials) at a rate that exceeds reasonable use or degrades the Service for others
  • Redistribute market data obtained through the Service for commercial purposes
  • Use the Service to generate bulk AI content for SEO manipulation, spam, or misleading publications

16. Ownership & Reservation of Rights

The Service and all underlying technology, algorithms, models, designs, and documentation are and shall remain the sole and exclusive property of The News Audit. This EULA does not grant you any ownership interest in the Service. All rights not expressly granted herein are reserved by us.

17. Updates & Modifications

We may update, modify, or discontinue any feature of the Service at any time without prior notice. Updates may be applied automatically. We are not obligated to provide any specific feature, update, or support. Continued use of the Service after updates constitutes acceptance of the modified Service.

18. Third-Party Components

The Service incorporates third-party libraries, APIs, and services, each subject to their own license terms. These third-party platforms operate on their own independent server infrastructure with separate firewall configurations, security protocols, and compliance certifications. Your data handled by these platforms is protected by their respective security measures independently of The News Audit application:

  • Anthropic (Claude AI): AI analysis is subject to Anthropic's Terms of Service and Acceptable Use Policy. API data is retained for up to 7 days for safety monitoring, then deleted.
  • Stripe: Payment processing is handled on Stripe's independent PCI Level 1 compliant infrastructure. We never see or store your full card details. Subject to the Stripe Services Agreement.
  • Supabase: Database hosting runs on Supabase's independent AWS-hosted PostgreSQL infrastructure with encryption at rest and in transit, dedicated firewall rules, and SOC 2 compliance. Subject to Supabase's Terms of Service.
  • Newsdata.io: News data is subject to Newsdata.io's terms
  • Resend: Email delivery is subject to Resend's Terms of Service
  • Vercel: Application hosting runs on Vercel's SOC 2 Type II compliant infrastructure. Subject to Vercel's Terms of Service.
  • Open Source: Certain components are licensed under MIT, Apache 2.0, or other open-source licenses. A list of open-source dependencies is available in the project's package.json file.

19. Export Compliance

You agree to comply with all applicable export and import laws and regulations. You may not use the Service in any country or region subject to comprehensive US sanctions, nor may you provide access to the Service to any person on a US government restricted persons list.

20. Termination of License

This license is effective until terminated. It will terminate automatically if you fail to comply with any term of this EULA. Upon termination, you must cease all use of the Service and destroy any copies of proprietary materials in your possession. We may also terminate this license at any time for any reason with or without notice.

Acknowledgment

By using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and End User License Agreement. If you do not agree, you must immediately discontinue use of the Service.
